MSC OneStop^® Loyalty Program Terms and Conditions

The following terms and conditions ("Terms") are between you and MSC Industrial Direct Co., Inc., and/or its affiliates ("MSC") and govern your participation in the membership program(s) offered by MSC ("OneStop^® Membership Program"). By activating or accepting the benefits of membership in the OneStop^® Membership Program, you accept these Terms as a binding agreement between you and MSC.

Your use of the mscdirect.com website and your purchase of items from MSC are also governed by MSC's Website Terms of Use and MSC's Terms and Conditions of Sale.

MSC may in its sole discretion modify these Terms by posting them along with a notice to your membership webpage. If any change to these terms is held to be unenforceable, that change shall be severed from these Terms and shall not affect the validity and enforceability of the remaining Terms. Your continued participation in the Membership Program or receipt of Benefits after any modification of these Terms constitutes your acceptance of the modified Terms.

Benefits

The following benefits ("Benefits") will be made available to you as a OneStop^® member:

• • Priority Caller Status via Exclusive 800 number

• • Exclusive Brands Discounts
• • Automated alternate in-stock product recommendations

Additional details and conditions regarding the Benefits will be made available to you on your membership webpage, Frequently Asked Questions (FAQ) document, or other communication, and these details and conditions are hereby incorporated into these Terms. Benefits are limited to certain products sold by MSC and may be limited or restricted depending upon manufacturer or supplier restrictions, inventory availability, order deadlines, and delivery location. Some special handling fees and/or taxes may still apply to eligible items, including but not limited to items with special shipping characteristics. Changing or combining orders or other shipment details may affect the availability of Benefits. All other conditions and exclusions in MSC's Terms and Conditions of Sale apply to purchases made under the OneStop^® Membership Program. MSC reserves the right to add, remove, or modify Benefits from time to time in its sole discretion.

Membership

Your initial membership will be a free trial membership for a period of up to six (6) months (“Trial Membership”). When you become a member under a Trial Membership, you will be given a minimum spending target (the “Minimum Spending Target”) as determined by MSC in its sole reasonable discretion. If you do not meet the Minimum Spending Target during the Trial Membership period, MSC has the right to cancel your subscription or to begin charging you for your subscription. We will give you advance written notice of our intent to cancel or charge you for your subscription.

MSC may, from time to time, offer different membership terms to you or to other customers, including different Fees, and may offer waived or discounted Fees. MSC will notify you in writing of any such offers, which will control over any terms herein. You will always have the option to cancel your membership (see "Cancellation" below).

Opting Out

You may cancel your membership at any time by contacting MSC as specified in the Membership Program FAQ's. Refunds of Fees are only available as set forth below in the section entitled Termination by MSC.

Rules and Restrictions

MSC may accept or refuse participation in the OneStop^® Membership Program by any individual or entity in MSC's sole discretion. Eligibility for membership in the OneStop^® Membership Program is conditioned upon receipt of a membership invitation by MSC. You may not transfer or assign your membership or any Benefits, including passwords, promotion codes or any other special offers or discounts, to any other individual or entity. Only you are entitled to receive the Benefits of your membership. You may not purchase products using the Benefits for purposes of resale, rental, or to ship to your own customers or other third parties. You may be invited to participate in programs where you can become eligible to receive credits, rebates, rewards, discounts, or other incentives (“Rewards”). You will be solely responsible for any federal, state, or local taxes resulting from any Rewards earned, received, or accepted by you. If your membership expires or is terminated by you, or by MSC for cause, any Rewards that you have earned but have not been issued or made available to you, or that you have not accepted or redeemed, may be immediately and automatically forfeited. Upon the beginning of any proceedings by or against you under any bankruptcy or insolvency law, Rewards will not be issued or made available to you and cannot be redeemed. Rewards cannot be applied as payment of or towards any amounts owed or payable by you to MSC. If any Rewards are paid to you by check and the check expires without being cashed or deposited, or if it is returned uncashed to MSC, the Reward may be forfeited.

Member Feedback and Comments

From time to time, you may provide to MSC feedback, comments, ideas, names, designs, logos or improvements with respect to the OneStop^® Membership Program ("Feedback"). All Feedback shall be the property of MSC, which may be freely used by MSC without compensation to or approval by you, and you hereby assign to MSC all right, title, and interest to such Feedback.

Termination by MSC

MSC may terminate the OneStop^® Membership Program, and/or your membership, at any time without prior notice to you. In such event, MSC will refund you any Fees you have paid in a prorated amount based on the number of full months remaining in your membership; provided that under no circumstances will MSC provide any refund in the event MSC terminates your membership due to conduct we determine to be in violation of these Terms, the Website Terms of Use, the Terms and Conditions of Sale, or any applicable law.

Limitation of Liability

In addition to other limitations and exclusions in MSC's website terms of use and terms and conditions of sale, in no event will MSC or its directors, officers, employees, agents or other representatives be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages of any kind, arising out of or related to the OneStop^® membership program. MSC's total liability, whether in contract, warranty, tort (including negligence) or otherwise, will not exceed the last annual membership fee you paid. These exclusions and limitations of liability will apply to the fullest extent permitted by law and will survive cancellation or termination of your membership. Certain state laws do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you, and you might have additional rights.
